About these terms

These terms are an agreement between you ("you", the affiliate) and WaySilver ("we", "us"), the maker of Lokalize, a Shopify app. They govern your participation in the Lokalize affiliate program (the "Program").

The Program runs on Shoffi (shoffi.app), a third-party affiliate platform for Shopify apps. Shoffi provides your referral link, tracks installs and charges, and records payout requests. Your use of Shoffi is also subject to Shoffi's own terms. If these terms conflict with Shoffi's on anything specific to the Lokalize program, these terms apply.

By joining the Program you confirm that you have read and accept these terms.

Eligibility and approval

The Program is open to Shopify agencies, freelancers, consultants, and content creators who are at least 18 years old and able to enter a binding contract. You need a Shoffi account and a PayPal account (or an alternative payment method we agree to in writing).

We review every application and may approve or decline it at our discretion, without having to give a reason. We may ask about where and how you plan to promote Lokalize.

Qualifying referrals

A referral qualifies when a Shopify merchant clicks your unique referral link and installs Lokalize from the same device within 30 days of that click, as recorded by Shoffi. Attribution is last-click: if a merchant clicked more than one affiliate's link, the referral goes to the last link clicked before the install.

The store must be new to Lokalize: stores that already had Lokalize installed, or were already credited to another affiliate, do not qualify.

Only installs tracked through your referral link qualify. We do not accept manual referrals: if a store installed Lokalize without your link being used, including a client store you installed it on yourself, it cannot be credited to you afterwards.

Stores you own, control, or are employed by do not qualify. Installing the app on behalf of a genuine client store you build or manage does qualify.

Installs made through your link from your own device, network, or IP address are reviewed before they qualify. They qualify only for a genuine client store, and we may ask for evidence of the client relationship.

Shoffi's records are the reference for referrals and commission. If you believe something is missing or wrong, contact us within 60 days of the charge in question.

Commission

You earn 20% of the gross amount of every recurring plan subscription charge (monthly or annual) a referred store pays for Lokalize, as reported by Shopify to Shoffi. One-time purchases, such as additional word packs, and any other non-recurring charges do not earn commission. Gross means the amount charged before Shopify's fees, taxes, and currency conversion.

Commission is lifetime: it continues for as long as the referred store keeps a paid plan subscription to Lokalize and you remain in the Program in good standing. If the store upgrades or downgrades, your commission follows the new plan price.

There is no limit on the number of stores you can refer or the total commission you can earn. Stores on the free plan earn no commission until they subscribe to a paid plan — buying a word pack on the free plan does not count.

Annual charges count as earnings in the month they are paid. All commission is calculated and paid in US dollars.

Refunds, credits, and reversals

If a charge is refunded, credited, reversed, or charged back, or if Shopify does not pay us for it, the commission on that charge is reversed. If it was already paid to you, we deduct it from your future commission.

We may hold commission on a charge until Shopify has paid us for it.

Payouts

Once your unpaid commission reaches $25 USD, you can request a payout in Shoffi. We pay approved requests within 30 days, to the PayPal account on your Shoffi profile unless we have agreed another method with you in writing.

We may ask for an invoice or tax information before paying. You are responsible for any fees your payment provider charges to receive the money.

Unpaid commission below the minimum stays in your balance and carries forward.

Taxes

You are responsible for reporting and paying any taxes on the commission you receive. Commission amounts include any taxes that may apply to you. We may withhold amounts where the law requires it.

How you may promote Lokalize

You may promote Lokalize through your own websites, blogs, videos, social media, newsletters, communities, courses, and direct recommendations to clients, as long as what you say is accurate and honest.

You must not:

• bid on "Lokalize", "WaySilver", or close variations of them as keywords in paid search ads, or use them in ad text or display URLs in a way that suggests the ad is ours;

• register domains, social handles, or app listings containing "Lokalize" or anything confusingly similar;

• present yourself as WaySilver, Lokalize support, or Shopify, or claim an official partnership beyond being an affiliate;

• make false or misleading claims about features, pricing, discounts, or results, or offer coupon codes we have not given you;

• send spam or unsolicited bulk messages, or promote through adult, hateful, violent, or illegal content;

• use cookie stuffing, forced clicks, hidden links, bots, or any other method that creates referrals without a real merchant choosing to install;

• install the app on fake, test, or development stores to generate referrals, or pay merchants to install without disclosing it;

• promote through coupon, deal, cashback, or incentivised-traffic sites, unless we have agreed it with you in writing;

• recruit sub-affiliates or run your link through another affiliate network without our written permission.

Disclosure

Wherever you promote Lokalize, you must clearly disclose that you may earn a commission, in a way that meets the laws and platform rules that apply to you — for example the US FTC Endorsement Guides, the UK ASA/CAP Code, or India's ASCI guidelines.

Use of our brand

We grant you a limited, revocable, non-exclusive licence to use the Lokalize name, logo, screenshots, and materials we provide, solely to promote Lokalize under these terms. Don't alter our logo or materials.

Our features and pricing change. If we ask you to correct or update content about Lokalize that has become inaccurate, please do so within 14 days. Your opinions and rankings remain your own.

Within 7 days of leaving the Program, or of our request, stop using our brand materials and remove or deactivate your referral links.

Changes to the Program

We may change these terms, the commission rate, or other Program rules. We will notify you through Shoffi or by email before changes take effect.

Changes to commission terms apply only to referrals made after the change. Stores you referred before the change keep the commission terms that applied when they were referred.

Ending participation

You can leave the Program at any time. We can end your participation at any time with notice.

If you leave, or we end your participation without cause, we will pay the commission you have already earned, even if it is below the minimum payout. Lifetime commission on your referred stores ends when your participation ends.

If we end your participation because you broke these terms or acted fraudulently, you forfeit any unpaid commission. We may also reverse commission earned through the breach, and recover commission already paid for it.

We may suspend payouts while we investigate suspected fraud or a breach, for no more than 180 days. If the investigation clears you, we pay the held commission in full.

Confidentiality

Any commission terms agreed individually with you, and any non-public information we share about Lokalize (such as roadmap, unreleased pricing, or performance data), are confidential. Use them only to take part in the Program and do not share them without our written consent. This continues for 3 years after you leave the Program.

Relationship

You are an independent contractor. Nothing in these terms makes you an employee, agent, partner, or joint venturer of WaySilver, and you may not make commitments on our behalf. The Program is non-exclusive: you may promote other apps, including competitors.

Liability

The Program, Shoffi tracking, and Lokalize are provided "as is". We are not responsible for tracking failures, lost referrals, or outages caused by Shopify, Shoffi, or other third parties, although we will work with you in good faith to fix genuine errors.

To the extent the law allows, our total liability to you under these terms is limited to the commission paid or payable to you in the 12 months before the claim. Neither side is liable for indirect or consequential losses.

You will indemnify us against claims arising from your promotional content or your breach of these terms.

Governing law

These terms are governed by the laws of India. The courts of Bangalore, Karnataka have exclusive jurisdiction over any dispute arising from them.
